General Counsel Office

Our General Counsel Office (GCO) provides legal support to European business units and management, including advising, assisting, problem solving, structuring and executing in relation to transactions (both client and internally initiated). Our experts respond to inquiries and maintain relations with European and international regulators and industry groups. We co-ordinate and manage litigation and regulatory proceedings. We also participate in new business initiatives involving joint ventures, mergers, corporate structure rationalisations, integration of businesses, creation of legal entities and offices, implementation of the new European law and directives which affect the securities and banking businesses as well as the implementation of country specific regulations.

The Transaction Structuring Group provides legal and regulatory advice plus execution support to all the primary markets and investment banking businesses of the Markets & Banking (CMB) globally (with the exception of the US). Areas of cover include fixed income capital markets, fixed income derivatives, equity capital markets, equity derivatives, general investment banking, M&A and other advice. This group is responsible for structuring support for all Citi funding and hedging trades, affiliate issuances and related activities.

General Counsel Office ensures that firm-wide policies and best market practice are adhered to in the execution of the above product lines and also ensure training and research support in respect of the foregoing.

Our company secretarial function includes maintenance of statutory books and records of all European companies (including preparation of board resolutions, document sealing, annual returns etc.)

The Trading Legal Services Group provides review of execution of all trading agreements for Citi (i.e., ISDA swaps etc.).

The European Compliance Department provides cost effective, highly professional compliance support to business and support units of the Markets & Banking (CMB) in Western Europe. It also provides support to other units and regions that are affected by European regulations or have contact with Markets & Banking (CMB) entities and the books of these entities. These may include registration of entities and personnel with regulators and administering the Chinese wall and employee trading policies of the Markets & Banking (CMB). Other inclusions may be surveillance of transactions, dissemination of Markets & Banking (CMB) policies and standards through education and training, advising and assisting in relation to financial operations and administrative matters, developing control processes including cooperation with internal audit, credit, financial and operations, responding to enquiries for and maintaining relations with regulators and industry groups, participating in new projects involving joint ventures, mergers, entities and products for expansion, restructuring and integration of businesses and implementation of the new UK regulatory structure.
